Board of Director Election Summer 2005

August 29, 2005

The Adjourned Annual Meeting of the Members was held on August 29, 2005, at 6 P.M. at the Marina Hills Club House.

There were about seven homeowners present. Kim Hockings from the management company Keystone Pacific and Richard Tinnelly, the attorney for the Board, did conduct the meeting.

The meeting was opened at 6 P.M. Two homeowners volunteered to serve as election inspectors. Kim Hockings served as the third election inspector.

After about 75 minutes of counting the three election inspectors presented the votes to the homeowners:

Vito Ferrante          335 votes
Loretta Pierce        291 votes
Hans Strupat          276 votes

Bob Blankenship   213 votes
Larry Becker         196 votes
John Proulx              70 votes
Elias Klaich              18 vote

A total of 1399 valid votes were cast. One single proxy was declared invalid by the election inspectors. This proxy was invalidated because it had all seven candidates selected.

The incumbent Vito Ferrante and Loretta Pierce, who had been appointed in December 2004, as well as the "new" Board Member Hans Strupat have been elected to serve for two years on the Marina Hills Board.

The meeting was adjourned at 7:30 P.M.

 

August 24, 2005

The Annual Meeting of the Members was held on Wednesday, August 24, 2005, at 6 P.M. at the Marina Hills Club House. The main purpose of this meeting is the election of Directors for the Marina Hills Board.

There were about 20 homeowners present. Kim Hockings from the management company Keystone Pacific and Richard Tinnelly, the attorney for the Board, were prepared to 'run' the meeting.

According to the Marina Hills CC&Rs, the quorum requirement for this Annual Meeting of the Members is 50%, meaning at least 770 homeowners need to be present in person or by proxy. Kim Hockings informed the waiting homeowners that the homeowners had mailed in about 450 proxies, thus the quorum requirement for this meeting was not met.

In accordance with the CC&Rs a meeting date for the adjourned meeting was set for Monday, August 29, 2005, at 6 P.M. at the Marina Hills Club House.

The quorum requirement for this adjourned meeting, again in accordance with CC&Rs, drops to 25%. The (approximately) 450 proxies that were mailed in by the homeowners during the last several weeks will be counted for achieving this quorum requirement. Since 450 proxies represent about 29% of the Marina Hills homeowners, the quorum requirement will be achieved at this adjourned meeting. During this adjourned meeting the votes of the homeowners will need to counted.

According to California Corporations Code, Section 7614, the counting of the votes will be performed by "Election Inspectors" who shall perform their duties impartially. As reported in the SaveMarinaHills newsletter from September 2004, the appointment of the Election Inspectors by the attorney for the Board Richard Tinnelly at the 2004 Adjourned Annual Meeting of the Members was highly suspect. The counting of the votes by the partisan Election Inspectors was secretive.
